1. Access,
Client grants Contractor access to the above-mentioned location and equipment to perform the duties as follows:
** Inspection and assessment of the equipment, and installation for quoting and other maintenance recommendations.
** Cleaning, sanitizing, and preventative maintenance, as recommended by the original equipment's manufacturers with said manufacturer's approved materials.
** Requested "estimates", without being granted access to the above location or equipment, are to be considered only an estimation, and not a true quote. The prevailing conditions found, upon arrival, will determine what maintenance will be required, as well as the invoiced total for that maintenance.
2. Schedule,
Neither party may terminate or reschedule this agreement with less than 24 hours’ notice without due cause.
3. Payment,
All payments are due upon completion of services rendered (unless previously agreed upon in writing by the Contractor). Any and all deferred payment/payments will be made in accordance with any such written agreement. Failure to make timely payment/payments will result in a late fee of 10% of the principal balance per occurrence and in addition a 10% interest applied to the total balance compounded monthly.
4 a). Wear components,
Our client has been informed about the presence of wear components within the above-mentioned equipment. Under optimal operating conditions, these components will degrade over time and will eventually require replacement. The service life of these components may be reduced during periods of neglect, abuse and/or severe duty. The contractor is not responsible for the service life of wear components.
4 b). Disassembly,
Following the manufacturer's recommended maintenance procedures, the equipment will be partially disassembled for cleaning. Any parts damaged during disassembly, cleaning, sanitizing, reassembly of equipment while following the manufacturer's guidelines are to be considered the result of natural wear and tear. The contractor is not responsible for the service life of wear components. If the replacement of any component appears necessary, it will be indicated in writing upon completion of this service. A quote addressing any worn components can be requested upon completion of service.
5. Disclaimer,
The Client is aware that the possible loss of product and/or revenue due to the misuse, neglect, abuse and/or conditions outside of the control of the Contractor i.e.: water, plumbing, electrical, etc. of the equipment after the end of service is in no way the Contractor's responsibility. Parts damaged during disassembly, cleaning, sanitizing, and reassembly of equipment, while following manufacturer's guidelines, potentially causing downtime and/or loss of product/revenue does not constitute liability to the Contractor.
